Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Merchant", "you") and Perfect Cart ("we", "us", "our") governing your installation and use of the Perfect Cart Shopify application ("App"). By clicking "Install," "Add app," or otherwise accessing or using the App, you confirm that you have authority to bind the business operating the Shopify store and that you accept these Terms. If you do not agree, do not install or continue using the App.

Perfect Cart provides the following cart-enhancement modules, individually toggleable by the Merchant: Your Savings, Cart Offers, Free Shipping Tracker, Free Gift Unlock, Special Freebie (countdown), Smart Cart Title Bar, Don't Miss These Deals, Your Items, Freebie / Buy X Get Y Offer, Coupons & Offers, Your Delivery (pincode/delivery checker), Your Summary, Your Gift Package (gift wrap & message card), Your Return Policy, Your Rewards (loyalty points), and Your Checkout (payment trust badges). We may add, modify, deprecate, or rename modules over time as part of ongoing product development.

You must be at least 18 years old, hold an active Shopify store, and have the legal authority to enter into these Terms on behalf of the business operating that store. The Service is intended for commercial/business use and is not directed at consumers as end-users of the App itself (though Shoppers interact with its output).

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on a single Shopify store per subscription, solely for your internal business purposes. You may not: (a) reverse-engineer, decompile, or attempt to extract the App's source code; (b) resell, sublicense, or white-label the App as your own product; (c) use the App to build a directly competing product; or (d) circumvent usage limits tied to your subscription plan.

Paid plans include a 14-day free trial. No charge is incurred during the trial. If you do not cancel before the trial ends, billing begins automatically at the start of the next cycle, in accordance with Shopify's billing rules. We reserve the right to limit trial eligibility to one trial per store.

You are solely responsible for the accuracy, legality, and configuration of all Content you enter into the App, including but not limited to: free-shipping and gift-unlock thresholds, coupon codes and discount math, the wording of your return policy as displayed in the Your Return Policy module, loyalty point ratios in Your Rewards, and any gift message templates. We are not responsible for losses, disputes, or regulatory issues arising from Content you configure, including discount/coupon stacking errors or inaccurate delivery-time representations.

You agree to use the Service in compliance with our Acceptable Use Policy, Shopify's Acceptable Use Policy, and all applicable laws, including consumer protection and advertising regulations governing discount and "free gift" claims.

The App integrates with and depends on third-party services, including the Shopify platform, payment processors, and pincode/logistics data providers for the delivery checker module. We are not responsible for outages, inaccuracies, or changes in these third-party services that affect App functionality, though we will work to maintain compatibility.

All right, title, and interest in and to the App — including its source code, module designs, branding, and documentation — are and will remain the exclusive property of Perfect Cart. Your Storefront content, branding, and customer data remain your property. Nothing in these Terms transfers any Perfect Cart intellectual property to you beyond the limited license in Section 5.

If you submit suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, royalty-free license to use that feedback to improve the App without any obligation to compensate you.

Our collection and use of data in connection with the Service is governed by our Privacy Policy and, where applicable, a Data Processing Agreement, both incorporated by reference into these Terms.

We aim to maintain high availability of the App but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice where practical, and may experience unscheduled downtime due to factors including Shopify platform issues, third-party outages, or force majeure events described in Section 20.

We may modify, enhance, or discontinue any module or feature of the Service at any time. We will use reasonable efforts to notify Merchants of material changes that significantly reduce core functionality on a paid plan.

We may suspend or terminate your access to the Service if you breach these Terms, the Acceptable Use Policy, fail to pay applicable fees, or where required by law. You may terminate at any time by uninstalling the App from your Shopify admin, subject to the Refund & Cancellation Policy. Upon termination, your right to use the Service immediately ceases, though certain provisions (Sections 11, 13, 17–21) survive termination.

The Service Is Provided "As Is" And "As Available," Without Warranties Of Any Kind, Whether Express, Implied, Or Statutory, Including Without Limitation Warranties Of Merchantability, Fitness For A Particular Purpose, Non-infringement, Or That The Service Will Result In Any Specific Increase In Sales, Aov, Or Reduction In Cart Abandonment. Any Performance Statistics Referenced On Our Marketing Pages Are Illustrative Averages And Not Guarantees Of Individual Results.

To The Maximum Extent Permitted By Law, Perfect Cart And Its Officers, Employees, And Affiliates Shall Not Be Liable For Any Indirect, Incidental, Special, Consequential, Or Punitive Damages, Or Any Loss Of Profits, Revenue, Data, Or Goodwill, Arising From Your Use Of The Service. Our Total Aggregate Liability For Any Claim Arising Out Of Or Relating To These Terms Or The Service Shall Not Exceed The Total Subscription Fees Paid By You To Us In The Three (3) Months Preceding The Event Giving Rise To The Claim.

You agree to indemnify, defend, and hold harmless Perfect Cart from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your Content, including discount, coupon, gift, or return-policy representations; (b) your breach of these Terms or applicable law; or (c) your use of the Service in a manner that infringes the rights of a third party.

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, internet or hosting outages, third-party platform failures (including Shopify), labor disputes, or governmental action.

These Terms are governed by the laws of the jurisdiction in which Perfect Cart is incorporated, without regard to conflict-of-law principles, except where mandatory local consumer protection law provides otherwise. Any dispute arising under these Terms shall first be attempted to be resolved informally by contacting Support; unresolved disputes may be subject to binding arbitration or the courts of competent jurisdiction as further specified in any signed order form.

Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Assignment: you may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire Agreement: these Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Refund & Cancellation Policy, constitute the entire agreement between you and Perfect Cart regarding the Service.

No Waiver: failure to enforce any right under these Terms does not constitute a waiver of that right.
